These website terms supplement, but do not replace, a signed services agreement, Business Associate Agreement, statement of work, or order form. If there is a conflict, the signed agreement controls for the applicable services.
1. Acceptance of Terms
By accessing mebirica.com, requesting a consultation, or using services provided by MEBIRICA, you agree to these Terms & Conditions and our Privacy Policy. If you use the website or services for an organization, you represent that you are authorized to bind that organization.
If you do not agree, do not use the website or services.
2. Services and Engagements
MEBIRICA provides medical billing, revenue cycle management, coding, claims processing, accounts receivable, denial and appeal support, eligibility verification, credentialing, prior authorization, virtual assistant, reporting, and related healthcare administrative services.
The specific scope, start date, fees, service levels, responsibilities, and term of a client engagement will be stated in a proposal, order form, statement of work, or services agreement. Website descriptions are general information and are not a binding promise that every service or feature is included in an engagement.
No medical advice
MEBIRICA provides administrative and business support services. We do not diagnose or treat patients, direct clinical care, or provide medical, legal, tax, or accounting advice. Healthcare providers retain sole responsibility for patient care, clinical documentation, medical necessity, coding decisions requiring provider judgment, and compliance obligations not expressly assigned to MEBIRICA in writing.
3. Client Responsibilities
Clients agree to:
- Provide accurate, complete, timely, and legally obtained information, documentation, credentials, access, approvals, and instructions.
- Maintain all required professional licenses, payer enrollments, consents, policies, and authorizations.
- Review reports and requests promptly and notify MEBIRICA of errors or changes.
- Use secure, approved methods for transmitting patient or other sensitive information.
- Maintain appropriate security for user accounts and promptly report suspected unauthorized access.
- Remain responsible for the accuracy and completeness of clinical records and for final approval of claims or codes where required.
MEBIRICA is not responsible for delays, denials, losses, or compliance issues caused by incomplete or inaccurate client information, client systems, payer conduct, government action, or circumstances outside our reasonable control.
4. Fees, Invoices, and Payment
Fees and payment schedules are stated in the applicable written agreement. Unless that agreement says otherwise, invoices are due by the date shown and may include approved pass-through or third-party costs. Clients must raise a good-faith billing dispute promptly and pay all undisputed amounts when due.
Past-due amounts may result in late charges where permitted, suspension of nonessential services, collection activity, or termination after any required notice and cure period. Taxes imposed on the services, other than taxes on MEBIRICA's income, are the client's responsibility where applicable.
Refund eligibility is governed by the applicable agreement and our Returns & Refunds Policy.
5. Healthcare Privacy, Security, and Payer Rules
Each party will comply with laws and regulations applicable to its responsibilities. Where required, MEBIRICA and the client will enter into a Business Associate Agreement before MEBIRICA receives protected health information.
Clients authorize MEBIRICA to communicate with payers, clearinghouses, vendors, government programs, credentialing bodies, and other parties reasonably necessary to perform contracted services. MEBIRICA does not guarantee payer enrollment, authorization, claim acceptance, reimbursement, appeal success, payment amount, collection rate, or processing time because these depend on documentation, payer rules, contracts, patient benefits, and third parties.
Third-party platforms
Services may rely on third-party systems such as EHRs, practice management systems, clearinghouses, payer portals, payment providers, and communication platforms. Their terms, availability, security, and performance are controlled by those third parties.
6. Intellectual Property and Acceptable Use
MEBIRICA and its licensors retain all rights in the website, branding, methods, templates, software, processes, training materials, reports, and other proprietary materials, excluding client-owned data and materials. Subject to payment and the applicable agreement, clients may use deliverables created specifically for them for their internal business purposes.
You may not copy, scrape, reverse engineer, disrupt, introduce malicious code, circumvent security, use the website unlawfully, impersonate another person, or attempt unauthorized access. You may not use MEBIRICA marks without written permission.
Client data remains the client's property. The client grants MEBIRICA the limited rights necessary to process that data and deliver the agreed services.
7. Disclaimers, Liability, and Indemnification
Website disclaimer
The website is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, MEBIRICA disclaims warranties not expressly stated in a signed agreement, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Limitation of liability
To the fullest extent permitted by law, MEBIRICA will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, data, or business opportunity arising from website use. Liability for paid services is governed by the applicable signed agreement. Nothing in these terms excludes liability that cannot legally be excluded.
Indemnification
To the extent permitted by law and subject to any signed agreement, you agree to defend and indemnify MEBIRICA against third-party claims arising from your unlawful use of the website, breach of these terms, or information and instructions you provide, except to the extent caused by MEBIRICA's own breach or misconduct.
8. Suspension, Termination, and General Terms
MEBIRICA may restrict website access for security, misuse, or legal reasons. Paid services may be suspended or terminated only as provided in the applicable agreement or law. Provisions that by their nature should survive termination—including payment, confidentiality, intellectual property, disclaimers, and liability limitations—will survive.
These terms are governed by the law identified in the applicable services agreement. If no signed agreement applies, governing law and venue will be determined under applicable law. Before filing a claim, the parties should attempt in good faith to resolve the dispute through written notice and business discussions, unless urgent relief is needed.
If any provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign your rights without consent; MEBIRICA may assign these terms in connection with a merger, sale, reorganization, or transfer of business. Electronic notices and signatures may be used where permitted.
Changes to these terms
We may revise these terms by posting an updated version and effective date. Material changes to an active paid engagement will be handled in accordance with the applicable agreement.
